1. Acceptance of Terms

By accessing or using the Synthetyx platform ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service. Synthetyx reserves the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.

2. Description of Service

Synthetyx is an AI-powered conversation simulation platform designed for testing, evaluating, and stress-testing conversational AI agents and chatbots. The Service enables users to generate synthetic conversations across various personas, tones, and scenarios to identify potential issues before deployment to end users.

2.1 Core Features

The Service includes: AI-powered conversation simulation using OpenAI models; batch processing via CSV and XLSX file uploads; configurable agent and human prompts with dynamic personality settings; real-time simulation progress tracking; exportable conversation results; and cost tracking per simulation session.

2.2 Beta Status

The Service is currently provided in beta. Features, functionality, and availability may change without notice. Synthetyx makes no guarantees regarding uptime, performance, or feature continuity during the beta period.

3. Account Registration and Security

3.1 Registration Requirements

To access the Service, you must create an account using Google Sign-In authentication. You must provide accurate and complete information during registration and maintain the accuracy of such information.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Synthetyx of any unauthorized use of your account or any other breach of security.

4. API Key Usage and Responsibilities

4.1 User-Provided API Keys

The Service requires you to provide your own OpenAI API key to generate conversation simulations. Synthetyx does not store your API key on its servers; your key is used only for the duration of each simulation session and is transmitted securely via encrypted connections.

4.2 API Key Security

You are solely responsible for the security and proper management of your OpenAI API key. Synthetyx recommends using API keys with appropriate spending limits and usage restrictions. Synthetyx is not liable for any costs, damages, or unauthorized usage resulting from compromised or mismanaged API keys.

4.3 Third-Party Terms

Your use of OpenAI API keys is subject to OpenAI's Terms of Use and Usage Policies. You agree to comply with all applicable third-party terms when using the Service.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service for: testing and evaluating AI chatbot responses; identifying potential issues, edge cases, and failure modes in conversational AI systems; training and quality assurance purposes; and research and development of conversational AI applications.

5.2 Prohibited Uses

You may not use the Service to: generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable; create, distribute, or facilitate the creation of malware, spam, or phishing content; infringe upon intellectual property rights of any third party; impersonate any person or entity or misrepresent your affiliation; attempt to gain unauthorized access to the Service or its related systems; interfere with or disrupt the Service or servers connected to the Service; violate any applicable laws or regulations; or circumvent any security features or access controls.

6. Data and Privacy

6.1 Data Collection

Synthetyx collects and processes the following data: account information provided through Google Sign-In; simulation configuration data including prompts, personas, and settings; uploaded files (CSV, XLSX) containing test scenarios; generated simulation results; and usage metrics and analytics.

6.2 Data Storage and Security

Data is stored using Google Cloud Platform services, including Cloud Firestore and Cloud Storage, with industry-standard security measures. Synthetyx implements Firebase App Check and other security controls to protect against unauthorized access.

6.3 Data Retention

Simulation results and uploaded files are retained for a reasonable period to enable you to access and export your data. You may request deletion of your data at any time by contacting Synthetyx support.

6.4 User Responsibilities

You are responsible for ensuring that any data you upload to the Service does not contain sensitive personal information, protected health information, or other regulated data unless you have appropriate authorization and safeguards in place.

7. Intellectual Property

7.1 Synthetyx Ownership

Synthetyx retains all rights, title, and interest in the Service, including all software, technology, designs, trademarks, and other intellectual property. These Terms do not grant you any rights to use Synthetyx trademarks, logos, or branding without prior written consent.

7.2 User Content

You retain ownership of content you upload to the Service, including prompts, test scenarios, and configuration data. By using the Service, you grant Synthetyx a limited license to process and store your content solely for the purpose of providing the Service.

7.3 Generated Content

Simulation outputs are generated using third-party AI models (OpenAI). Ownership and usage rights for AI-generated content are subject to OpenAI's terms and applicable law. Synthetyx makes no representations regarding your rights to AI-generated content.

8. Disclaimers and Limitations

8.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. SYNTHETYX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8.2 AI Output Disclaimer

Simulation outputs are generated by third-party AI models and may contain errors, inaccuracies, biases, or inappropriate content. Synthetyx is not responsible for the content generated during simulations. You are solely responsible for reviewing and validating all simulation outputs before use.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNTHETYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. SYNTHETYX'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless Synthetyx and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: your use of the Service; your violation of these Terms; your violation of any third-party rights; any content you upload or generate using the Service; or your misuse or mismanagement of API keys.

10. Termination

10.1 Termination by You

You may terminate your account at any time by discontinuing use of the Service and requesting account deletion.

10.2 Termination by Synthetyx

Synthetyx may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to: violation of these Terms; fraudulent, abusive, or unlawful activity; non-payment of applicable fees; or extended periods of inactivity.

10.3 Effect of Termination

Upon termination, your right to access and use the Service will cease immediately. Synthetyx may delete your account data following termination. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 8, 9, and 11.

11. General Provisions

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and held in Delaware or remotely at the arbitrator's discretion.

11.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

11.4 Entire Agreement

These Terms constitute the entire agreement between you and Synthetyx regarding the Service and supersede all prior agreements and understandings.

11.5 Waiver

Failure by Synthetyx to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

11.6 Assignment

You may not assign or transfer these Terms without Synthetyx's prior written consent. Synthetyx may assign these Terms without restriction.
